Closing a sole trader registration
We close a sole trader registration end to end: the final return, settling contributions, deregistration. A registration left half-closed keeps accruing contributions and penalties long after the business has stopped trading.
The commonest mistake in closing a sole trader registration is assuming the application is enough. State registration ends quickly, but tax registration and social contributions do not end with it: until the final return is filed and the contributions are paid, the obligations remain yours.
That is why people find out about a debt a year or two later, when the business was “closed long ago” and the demand arrives anyway. We run the procedure to its end, not to the register entry.
What the service covers
- a check of where things stand: whether everything has been filed, whether anything is underpaid or left open;
- preparing and filing the application to cease business activity;
- filing the final return for the period up to the cessation date;
- calculating the social contribution and watching that it is paid up to the date of the register entry;
- deregistration with the tax office and, where applicable, cancellation of VAT registration;
- closing off any registered cash register;
- representation if an inspection is scheduled on closure;
- obtaining confirmation that nothing is owed.
How it runs
First we look at what you hold and what the tax office has against you. This is the step that matters most: closing with open periods guarantees a return to the question later.
Then the cessation application goes in – state registration ends, and that date becomes the cut-off for the social contribution. After that the final return is filed and the settlements with the budget are closed. Deregistration completes the procedure.
Most steps are done remotely; you do not need to attend in person.
When closing gets complicated
Unpaid tax debts have to be settled – ceasing to trade does not clear them. If there were employees, the HR side closes first: dismissals, final settlements, the last payroll return. If you are VAT-registered, cancellation is added, and it has its own consequences for stock on hand. And if nothing has been filed for a long time, the work grows, because every period still has to be filed.
None of that is a reason to postpone: the amount only grows with time.
Is closing definitely the right move
Sometimes not. Where trading has stopped only temporarily, changing group or moving to another system can be cheaper than closing and registering again six months later. We say so plainly, even when it means less work for us: this is settled on a consultation, not after the application has been filed.
If you are outgrowing the format rather than leaving it, see turnkey company registration.
What it costs
It depends on the state of things: closing a registration where everything is filed and nothing is owed, and closing one that has not reported for two years, are different jobs. We quote after checking the position and fix it in the contract before starting.
Common questions
How long does closing take?
State registration ends quickly; full closure depends on how many periods have to be filed and whether an inspection is scheduled. We give a realistic timescale after checking where things stand.
Do contributions still accrue after the application is filed?
They accrue up to the date the cessation is entered in the register. That is exactly why we make sure no unnecessary months pass between actually stopping and the entry being made.
Can an inspection be scheduled on closure?
Yes, the law provides for it. If one is scheduled we handle it – preparing the documents and representing you.
What happens if I simply stop filing?
The registration stays live, and contributions and non-filing penalties keep accruing. After a year or two the sum is substantial, and it is then recovered from you personally.
Can it be done from abroad?
Yes. The procedure runs remotely under a power of attorney; you do not need to be in Ukraine.
